By accessing our website or utilizing our professional management services, you agree to be bound by these Terms and our Privacy Policy. 2. Description of Services
STAR GLOBAL MANAGEMENT LLC provides strategic consulting, workflow auditing, pixel tracking integration, funnel analysis, and digital optimization services. The specific scope of work for each engagement will be defined in a separate Service Level Agreement (SLA) or Statement of Work (SOW), which remains subject to these general Terms.
3. Client Responsibilities
Clients are required to provide accurate, current, and complete information as necessary for the provision of services. You are responsible for maintaining the confidentiality of any access credentials provided and for all activities that occur under your account. Failure to provide necessary data may result in project delays or service suspension.
4. Payment and Fees
Fees for services are billed according to the schedule defined in your specific contract. All payments are due within 15 days of invoice issuance unless otherwise specified. We reserve the right to suspend services for accounts with past-due balances. All fees are quoted in USD and are non-refundable once service execution has commenced.
5. Intellectual Property
Unless otherwise agreed in writing, STAR GLOBAL MANAGEMENT LLC retains all rights, title, and interest in its proprietary methodologies, software, and frameworks. Upon full payment of fees, clients are granted a non-exclusive, non-transferable license to use deliverables specifically created for them for their internal business purposes.
6. Limitation of Liability
In no event shall STAR GLOBAL MANAGEMENT LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services.
7. Disclaimer of Warranties
Our services are provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Indemnification
You agree to defend, indemnify, and hold harmless STAR GLOBAL MANAGEMENT LLC and its employees, contractors, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of the services or violation of these Terms.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
10. Dispute Resolution
Any dispute arising out of or relating to these Terms shall be resolved through final and binding arbitration in New Mexico, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
11. Modifications
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
